Refund Policy
1. General Refund Terms. At SynapticGridx, we are committed to delivering high-quality web development and content management services. All refund requests are evaluated on a case-by-case basis, taking into account the project milestones completed, the scope of work delivered, and the contractual terms agreed upon at the commencement of the engagement.
2. Milestone-Based Refunds. Projects are typically structured around defined milestones. If a refund request is made after one or more milestones have been completed and approved by the client, the refund amount will be calculated proportionally, deducting the value of completed milestones and any non-recoverable third-party costs incurred on the client's behalf.
3. Pre-Development Cancellation. If a cancellation request is submitted before any development work has commenced, a full refund of any advance payment will be issued within 14 business days, minus any administrative processing fees not exceeding 5% of the total advance payment.
4. Post-Development Disputes. If disputes arise after project delivery, SynapticGridx will engage in a good-faith resolution process. The client must submit a detailed written complaint within 30 days of delivery. We will review the complaint and provide a resolution proposal within 10 business days. If the issue is attributable to SynapticGridx, remedies may include partial refund, additional development work, or a combination thereof.
5. Non-Refundable Items. The following are non-refundable: (a) third-party licensing fees (e.g., domain registrations, premium plugins, hosting subscriptions) already procured on behalf of the client; (b) consulting and strategy sessions that have been delivered; (c)定制 design work where initial concepts have been approved and development has begun.
6. Refund Processing. Approved refunds are processed within 14 business days using the original payment method. If the original method is unavailable, an alternative method will be agreed upon. SynapticGridx reserves the right to issue credit notes for future services in lieu of monetary refunds, provided the client consents.
7. Governing Law. This refund policy is governed by Spanish consumer protection law (Real Decreto Legislativo 1/2007) and European Union consumer rights directives. Nothing in this policy affects your statutory rights as a consumer under applicable legislation.
Terms of Service
1. Acceptance of Terms. By accessing and using the services provided by SynapticGridx, located at Calle de Alcalá, 142, Piso 2A, 28009, Madrid, España, you agree to be bound by these Terms of Service. If you do not agree with any provision herein, you must discontinue use of our services immediately.
2. Scope of Services. SynapticGridx provides web development, progressive web application engineering, content management system development, API architecture, edge deployment, performance optimization, real-time system integration, payment gateway integration, and analytics dashboard development. The specific scope, deliverables, and timelines for each engagement are defined in individual project proposals and statements of work.
3. Intellectual Property. Upon full payment of all applicable fees, the client receives full ownership of all custom code, designs, and documentation produced specifically for the project. SynapticGridx retains ownership of pre-existing frameworks, libraries, utilities, and development tools used in the creation of deliverables, and grants the client a perpetual, non-exclusive license to use such components as integrated within the final product.
4. Client Obligations. The client agrees to: (a) provide timely access to necessary accounts, credentials, and content required for project execution; (b) designate an authorized representative with decision-making authority for project approvals; (c) review and provide feedback within agreed-upon review periods; (d) ensure that all content provided does not infringe upon third-party intellectual property rights.
5. Payment Terms. Invoices are issued according to the payment schedule defined in the project proposal. Payment is due within 14 days of invoice date. Late payments accrue interest at a rate of 2% per month, or the maximum rate permitted by Spanish law, whichever is lower. SynapticGridx reserves the right to suspend work on any project where payments are more than 15 days overdue.
6. Confidentiality. Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of an engagement. This obligation survives termination of the contractual relationship for a period of 24 months. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
7. Limitation of Liability. SynapticGridx's total aggregate liability under any engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim. In no event shall SynapticGridx be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities.
8. Termination. Either party may terminate an engagement with 30 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. SynapticGridx will deliver all completed work product within 10 business days of receiving final payment.
9. Dispute Resolution. Any disputes arising from these terms shall first be submitted to mediation. If mediation fails within 30 days, the dispute shall be resolved through binding arbitration administered by the Madrid Court of Arbitration (Tribunal Arbitral de Madrid), in accordance with its rules. The governing law is that of the Kingdom of Spain.
10. Amendments. SynapticGridx reserves the right to amend these Terms of Service at any time. Material changes will be communicated to active clients via email at least 15 days before taking effect. Continued use of services after the effective date constitutes acceptance of the amended terms.
